U.S. Securities and Exchange
Commission issues international disclosure standards. The SEC is adopting
new disclosure requirements for foreign private issuers of securities to adapt
to the international disclosure standards endorsed by the International
Organization of Securities Commissions in September 1998. The new requirements
will replace most of the non-financial disclosures of Form 20-F, the basic
disclosure document for foreign private issuers. The rule also clarifies how
"foreign private issuers" must determine whether their shareholders
are U.S. residents. The effective date of the rule will be September 30, 2000. Citation:
64 Federal Register 53900 (October 5, 1999).
